1. Agreement to these terms
These Terms of Service (the “Terms”) are a binding agreement between you and Geidi Pty Ltd (“Geidi”, “we”, “us”) governing access to and use of the Geidi IT Portal at portal.geidi.com (the “Portal”). If you use the Portal on behalf of an organisation, you confirm you are authorised to bind that organisation, and “you” includes that organisation. If a separate services agreement exists between Geidi and your organisation, that agreement prevails over these Terms to the extent of any inconsistency.
2. The Portal
The Portal is an administrative application used to manage Microsoft 365 and related IT services, including identity, licensing, workflows and support tools. We may add, change or remove features over time. The Portal is intended for business use by authorised personnel only.
3. Eligibility, accounts and access
- Access requires authentication through Microsoft Entra single sign-on. You must be an authorised operator, administrator or client user with a valid account and the appropriate permissions.
- You are responsible for maintaining the security of your account and credentials and for all activity that occurs under your access. You must notify us promptly of any suspected unauthorised access or security incident.
- Access is granted on a least-privilege basis and may be scoped to specific tenants, organisations and roles. You must only access data and functions you are authorised to use.
4. Acceptable use
You must not, and must not permit anyone to:
- access or attempt to access data, tenants or accounts you are not authorised to access;
- use the Portal for any unlawful, fraudulent, or harmful purpose, or in breach of any applicable law;
- interfere with, disrupt, probe, scan or test the vulnerability of the Portal or its infrastructure without our prior written authorisation;
- introduce malware, attempt to bypass security or access controls, or reverse engineer the Portal except to the extent permitted by law;
- misuse, copy, scrape or extract data other than as needed for your authorised use; or
- resell, sublicense or provide the Portal to third parties except as expressly permitted.
5. Your data and responsibilities
You are responsible for the accuracy and lawfulness of the data and instructions you provide through the Portal, and for ensuring you have the necessary rights and authorisations to administer the tenants and accounts you act on. Our handling of personal information is described in our Privacy Policy. Where we process a client organisation’s data, we do so on that organisation’s instructions and under the applicable services or data processing terms.
6. Intellectual property
The Portal, including its software, design, and content (excluding your data and your organisation’s data), is owned by Geidi or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Portal for your authorised business purposes while these Terms are in force. No other rights are granted.
7. Confidentiality
Each party may receive confidential information of the other. You must keep our confidential information (including non-public features and security details of the Portal) confidential and use it only for the purpose of using the Portal. We will keep your confidential information confidential as described in our Privacy Policy and any services agreement.
8. Third-party services
The Portal integrates with third-party services, including Microsoft, Google Cloud and others. Your use of those services may be subject to their own terms, and we are not responsible for third-party services that are outside our control.
9. Availability and changes
We aim to keep the Portal available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, and we may modify, suspend or discontinue features at any time. Where a separate services agreement specifies service levels, that agreement governs availability commitments.
10. Disclaimers
To the maximum extent permitted by law, the Portal is provided “as is” and “as available”, and we exclude all implied warranties, conditions and guarantees not expressly stated. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where our liability for a breach of a non-excludable guarantee can be limited, it is limited (at our option) to re-supplying the relevant services or paying the cost of having them re-supplied.
11. Limitation of liability
Subject to clause 10, to the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive loss, or loss of profits, revenue, data or goodwill; and (b) each party’s total aggregate liability arising out of or in connection with the Portal and these Terms is limited to the amount specified in the applicable services agreement or, if none, the greater of (a) the total fees paid for the Portal in the 12 months before the claim, or (b) AUD $100. These limitations do not apply to liability that cannot be limited by law.
12. Indemnity
You agree to indemnify us against loss, damage, cost and expense we reasonably incur arising from your breach of these Terms, your misuse of the Portal, or your breach of law, except to the extent caused by our own negligence or wrongful act.
13. Suspension and termination
We may suspend or terminate your access immediately if you breach these Terms, if required for security or legal reasons, or if your authorisation to use the Portal ends. On termination, your right to use the Portal ceases. Clauses intended to survive termination (including confidentiality, intellectual property, disclaimers, liability and indemnity) survive.
14. Governing law and jurisdiction
These Terms are governed by the laws of Western Australia and the Commonwealth of Australia. You and we submit to the non-exclusive jurisdiction of the courts of Western Australia and the courts competent to hear appeals from them.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date above. Your continued use of the Portal after an update constitutes acceptance of the revised Terms.
16. General
- Entire agreement. These Terms, together with our Privacy Policy and any applicable services agreement, are the entire agreement between you and us regarding the Portal and supersede prior understandings on that subject.
- Severability. If any provision is found to be invalid or unenforceable, it is severed and the remaining provisions continue in full force.
- No waiver. A failure or delay in enforcing a right is not a waiver of that or any other right.
- Assignment. You may not assign or transfer these Terms without our prior written consent; we may assign them in connection with a reorganisation, merger or sale of our business.
- Notices. We may give notices to you through the Portal or by email to your account address; notices to us must be sent to the contact below.
- Force majeure. Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control.
- Relationship. Nothing in these Terms creates a partnership, agency or employment relationship between the parties.
